1. Acceptance of Terms

  • By accessing or using the SynthAxis website, placing an order, or using any of our products or services, you agree to be bound by these Terms and Conditions ("Terms").
  • These Terms constitute a legally binding agreement between you ("Customer", "you") and SynthAxis Inc. ("SynthAxis", "we", "our", "us").
  • If you do not agree to these Terms, please discontinue use of our website and services immediately.
  • We reserve the right to modify these Terms at any time. Continued use of our services after changes constitutes acceptance of the updated Terms.

2. Products and Research Use

  • All SynthAxis products are sold strictly for research, laboratory, and manufacturing use by qualified professionals. Our products are not intended for human therapeutic use, clinical applications, or consumer sale.
  • Customers are responsible for ensuring that the intended use of purchased products complies with all applicable local, national, and international laws and regulations.
  • By placing an order, you confirm that you are a qualified researcher, scientist, or procurement professional acting within a legitimate research or industrial context.
  • SynthAxis reserves the right to refuse orders that appear to be for prohibited, illegal, or inappropriate end uses.

3. Orders and Pricing

  • All orders are subject to acceptance by SynthAxis. We reserve the right to refuse or cancel any order at our discretion, including in cases of pricing errors, stock unavailability, or suspected fraud.
  • Prices listed on our website are in US Dollars (USD) and are subject to change without notice. The price applicable to your order is the price confirmed at the time of order acceptance.
  • All prices are exclusive of applicable taxes, duties, and shipping charges, which will be added at checkout or invoiced separately.
  • Custom synthesis and bulk order pricing is provided via individual quotation and is valid for the period specified in the quotation.
  • SynthAxis is not responsible for pricing errors resulting from typographical mistakes on the website. We will notify you of any such errors before processing your order.

4. Payment Terms

  • Payment is due in full at the time of order for catalog products unless a credit account has been established.
  • We accept major credit cards, wire transfers, and purchase orders from approved institutional customers. Payment terms for purchase orders are Net 30 days from invoice date unless otherwise agreed.
  • Late payments are subject to interest at the rate of 1.5% per month (18% per annum) or the maximum permitted by law, whichever is less.
  • SynthAxis reserves the right to suspend or cancel orders and withhold shipments for accounts with outstanding balances.

5. Shipping and Delivery

  • SynthAxis ships to over 120 countries worldwide. International orders may be subject to import duties, customs fees, and local taxes, which are the sole responsibility of the customer.
  • Estimated delivery times are provided as guidance only and are not guaranteed. SynthAxis is not liable for delays caused by carriers, customs authorities, or circumstances beyond our control.
  • Risk of loss and title for products pass to the customer upon delivery to the carrier. SynthAxis is not responsible for loss or damage during transit once products have been handed to the carrier.
  • Temperature-sensitive products are shipped with appropriate cold-chain packaging. Customer must ensure prompt receipt and proper storage upon delivery.
  • Claims for damaged or missing shipments must be reported to SynthAxis within 5 business days of delivery.

6. Returns, Replacements, and Refunds

  • Returns are accepted only with prior written authorization from SynthAxis. Products must be returned in original condition, unopened, and within 30 days of delivery.
  • Custom-synthesized products, made-to-order items, and products that have been opened or used are not eligible for return.
  • If a product is confirmed to be defective or non-conforming to its Certificate of Analysis (COA), SynthAxis will provide a replacement or full refund at its discretion.
  • Refunds are processed within 10 business days of receipt and inspection of returned goods.
  • Shipping costs are non-refundable unless the return is due to a SynthAxis error or product defect.

7. Product Quality and Specifications

  • SynthAxis warrants that products will conform to the specifications stated in the Certificate of Analysis (COA) provided with each shipment at the time of delivery.
  • This warranty is limited to the original purchaser and does not extend to any subsequent user or any use outside the stated specifications.
  • Products are provided "as is" for research purposes. SynthAxis makes no warranty of fitness for a particular purpose beyond what is expressly stated in the COA.
  • Analytical data (NMR, MS, HPLC) provided on product pages is representative and may vary between lots. Lot-specific data is provided in the COA shipped with the product.

8. Limitation of Liability

  • TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNTHAXIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE USE OR INABILITY TO USE OUR PRODUCTS OR SERVICES.
  • SynthAxis's total liability for any claim arising from a product or service shall not exceed the amount paid by the customer for that specific product or service.
  • SynthAxis is not liable for any outcomes, conclusions, or results arising from the customer's research use of our products.

9. Intellectual Property

  • All content on the SynthAxis website, including text, graphics, logos, images, and software, is the property of SynthAxis or its content suppliers and is protected by applicable intellectual property laws.
  • Customers may not reproduce, duplicate, copy, sell, or exploit any portion of our website or its content without express written permission from SynthAxis.
  • Product names, catalog numbers, and chemical identifiers are provided for reference only. SynthAxis does not claim ownership of chemical compounds or their names.
  • Technical articles, whitepapers, and other scientific content published by SynthAxis are protected by copyright. Citations with attribution are permitted for non-commercial academic use.

10. Confidentiality

  • Any confidential information exchanged in connection with custom synthesis projects, CDMO services, or business negotiations shall be treated as confidential by both parties.
  • SynthAxis will not disclose customer project details, formulations, or proprietary information to third parties without express written consent, except as required by law.
  • Customers agree not to disclose SynthAxis's proprietary synthesis methods, pricing structures, or business information shared in confidence.

11. Governing Law and Disputes

  • These Terms are governed by and construed in accordance with the laws of the State of Massachusetts, United States, without regard to conflict of law principles.
  • Any disputes arising under or in connection with these Terms shall first be subject to good-faith negotiation between the parties.
  • If a dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration under the rules of the American Arbitration Association.
  • The arbitration shall take place in Cambridge, Massachusetts, and the arbitration award shall be final and binding on both parties.

12. Force Majeure

  • SynthAxis shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, supply chain disruptions, carrier failures, or labor disputes.
  • In the event of a force majeure, SynthAxis will notify affected customers promptly and make reasonable efforts to fulfill orders as soon as conditions allow.
